New President Commissioner appointed at CIMB Niaga EGM

JAKARTA. PT Bank CIMB Niaga has announced the appointment of Dato’ Sri Nazir Razak as its new President Commissioner of its Board of Commissioners, succeeding Dato’ Mohd Shukri Hussin, who retired at the Bank’s Extraordinary General Meeting of Shareholders ("EGM") held earlier today.

The term of service for Dato’ Sri Nazir will be effective upon approval from Bank Indonesia (“BI”) until the closing of the 2012 Annual General Meeting of Shareholders of CIMB Niaga to be held in 2013.

Apart from accepting the resignation of Dato' Mohd Shukri and approving the appointment of Dato' Sri Nazir, the EGM also approved the changes of positions of:
• Roy Edu Tirtadji - from Vice President Commissioner (and concurrently Independent Commissioner) to Commissioner (and concurrently Independent Commissioner); and
• Glenn Muhammad Surya Yusuf from Commissioner to Vice President Commissioner of CIMB Niaga [effective as at date confirmed in BI’s letter of approval].

The shareholders at the EGM also approved the granting of authority and power to the Directors of CIMB Niaga, with a right of substitution to reaffirm the resolution with regards to the change of membership of the bank's Board of Commissioners in a Notarial Deed, and to take any steps required by the laws and regulations.

Subsequently, the membership of the Board of Commissioners of CIMB Niaga, as of the closing of the Meeting up to the closing of the 2012 Annual General Meeting of Shareholders of the company to be held in 2013 is as follows:

Dato’ Sri Nazir, aged 45, is presently the Group Chief Executive/Managing Director of CIMB Group Holdings Berhad (“CIMB Group”).  He graduated from the University of Bristol with a BSc (Hons) and obtained an MPhil from the University of Cambridge. He joined CIMB’s corporate advisory department in 1989 and was appointed Chief Executive on 1 June 1999.  He spearheaded the Group’s transformation from a Malaysian investment bank to a regional universal bank via the acquisitions of G.K. Goh Securities and Bumiputra-Commerce Bank in 2005, Southern Bank in 2006, and Bank Lippo and BankThai in 2008.

Under Dato’ Sri Nazir’s stewardship, CIMB Group has won many prestigious accolades. He also became the youngest recipient of FinanceAsia’s “Lifetime Achievement Award” in 2009, and was named the “Best Executive in Malaysia” by Asiamoney in 2009 and 2010 as well as “Best CEO (Malaysia)” by FinanceAsia in 2011.

Meanwhile, Glenn Muhammad Surya Yusuf has over 29 years of experience working in the business and finance sectors, with various positions which include Director of Bank Niaga (1985-1994) and the first Chairman of the Indonesian Bank Restructuring Agency (1998-2000). He was also President Director of PT Danareksa (Persero), a position he held between 1995 and 2001; and President Director of PT Perusahaan Perkebunan London Sumatera Tbk from 2003 through 2007. He is currently a Commissioner at PT Surya Citra Media Tbk (appointed in 2004), and also an Independent Non-Executive Director for CIMB Group Holdings Berhad (appointed in January 2010).

Arwin Rasyid, President Director of CIMB Niaga, said that the membership change of the bank's Board of Commissioners was part and parcel of the corporate cycle; and necessary following the retirement of Dato' Mohd Shukri from CIMB Group.
